Celgene Inc. (the “Company” or “we”) a Canadian corporation, is a wholly owned subsidiary of Celgene Corporation, a U.S. corporation (“Celgene Corporation”). Celgene Corporation is a global biopharmaceutical company committed to improving the lives of patients worldwide.

The Company is committed to ensuring the privacy of individuals who provide it with personally identifiable information (“Personal Information”).

The purpose of this Privacy Policy is to tell you what Personal Information we collect about you, how we use it and the circumstances under which we disclose it. We also provide you with information about how you can request access to your Personal Information and obtain more information about the Company’s privacy policies and procedures.

The Company may collect your Personal Information for different reasons; for example, to enable you to participate in certain Celgene controlled drug distribution programs, patient support programs and/or receive other services or fulfill requests for information either through the Company website or other means.

Celgene Electronic Collection of Personal Information

While the security of information over mobile devices and in transit over the Internet cannot be assured, our privacy practices are designed to provide choices and control over Personal Information provided to us and to ensure that we use information we receive in ways compatible with the purposes for which it has been collected from the individual. As discussed further below, we take reasonable precautions to protect information from loss, misuse, and unauthorized access, disclosure, alteration, and destruction.

What Personal Information Does the Company Collect and Why?

We collect Personal Information for a variety of reasons. For example, we collect Personal Information when you ask us questions or when you request information, services and products from us. We also collect Personal Information in connection with the conduct of clinical trials, the operation of patient support programs and reporting of adverse events relating to Celgene products. For Celgene products that are offered under a controlled distribution program, patients, physicians (prescribers) and pharmacies or pharmacists are required to complete enrollment forms and other documents as may be required by the program.

Depending on the context that Personal Information was collected, the Company may use your Personal Information for the following purposes, including:

  • Providing counseling, education, services and other information relating to our controlled distribution programs and to fulfill the requirements of our controlled distribution programs;
  • Notifying you of matters that may be required by law;
  • Responding to your questions and your requests for information, services and products;
  • Assessing eligibility for compassionate funding programs.
  • Conducting clinical trials;
  • Reporting and investigating adverse events;
  • Running the Company’s operations and fulfilling its business and legal requirements;
  • Better understanding patient needs through analysis of aggregate (non-identifiable) information; and
  • If you ask us to, providing you with information and notices regarding products and services that we deem important to you, including studies and support services.

In addition, whether you are a patient (or substitute decision maker/guardian or caregiver of a patient) seeking treatment with some Celgene products, or a physician or pharmacist prescribing or dispensing a Celgene product, additional information may be collected from you as described below.

Patients:

If you are a patient (or substitute decision maker/guardian or caregiver of a patient) who has been prescribed treatment with a Celgene product that is subject to a controlled distribution program you (or your designates, including your substitute decision makers/guardians, caregivers, physicians or pharmacists) will need to provide Celgene with important Personal Information in order to register to become eligible for treatment with a Celgene product, to enroll you as a patient and to facilitate your receipt of products. This Personal Information may be provided at the time of enrollment and in follow up forms, records and communications with physicians and pharmacists/pharmacies.

The controlled distribution programs are designed to monitor and assess your use of and ongoing eligibility for treatment with Celgene products, to comply with regulatory requirements, and to provide you with important advice and warnings regarding the use of Celgene products. This information may be collected through a Celgene web portal, via fax and/or by telephone.

In addition, if you wish to inquire about receiving assistance in obtaining access to your medication, you will need to provide Personal Information that will be used to help determine your potential eligibility to receive Celgene pharmaceutical products through a patient assistance program or other program.

The type of Personal Information we collect, depending on the purpose, may include the following:

  • Name, address and date of birth;
  • Contact information about your relatives or next of kin;
  • E-mail address, telephone and facsimile numbers;
  • The name and contact information of your health care provider;
  • Your medical information, including sensitive health care information and information about any adverse events;
  • Financial circumstances and funding requests.

Prescribers and Pharmacists

Physicians and pharmacists and or pharmacies that prescribe and/or dispense Celgene products, will also be required to provide Personal Information in order to enroll in any controlled distribution program and ensure completion of training in such program. Information to be provided in the forms and in follow-up records and communications will include name, and contact information, agreement to comply with terms of program, products prescribed and/or dispensed and training certification results. Personal Information will be collected for registering you for eligibility to prescribe or dispense Celgene products, to maintain your eligibility and to notify and educate you regarding such products.

You may also be asked for Personal Information in respect of clinical trials in which you participate.

Your information may be used to establish and manage customer relationships, prescription choices and preferences, if you ask us to, inform you about our products, recommend particular products to meet your patients’ needs and to develop and plan educational or other programs and contact you and send you material regarding Celgene products, etc. To receive information about our products, you will be asked to opt-in to such messages. You may choose to opt-out at any time of receiving marketing information.

Consent

We will seek your consent to collect use and disclose sensitive Personal Information at the time of collection in connection with enrollment forms. In other cases, providing your Personal Information, either in person, by telephone, by facsimile, or on-line, constitutes your consent to the collection, use and disclosure of such Personal Information by the Company for the purpose of providing the relevant services in accordance with this Privacy Policy and with our statements provided to you at the time you provide information to us. We only collect information by lawful means.

If you have consented to having your Personal Information used for marketing purposes or market research, you may opt-out of being contacted for these purposes and withdraw consent from having your personal information used for these purposes. Newsletters, promotional material and e-mails will specify how you may opt-out of being contacted. You may also follow opt-out procedures provide to you in electronic marketing correspondence.

When Does the Company Disclose Personal Information?

The Company does not sell or lease your Personal Information to third parties.

The Company may, on occasion, share some or all of your Personal Information with third parties for processing in accordance with the purposes for which it has been provided. These third parties are required to safeguard the data. For example:

  • With Celgene Corporation’s office in New Jersey to meet legal and compliance requirements and meet our operational needs;
  • With Health Canada and other regulators to comply with adverse event reporting requirements and other regulatory requirements established by Health Canada or other regulators;
  • With third parties that provide the Company with services, such as legal counsel, auditors, organizations that help us administer enrollment programs and compliance requirements, organizations that assist us with data storage and processing, market research companies, and organizations that conduct clinical research studies/trials;
  • With third parties in connection with a business transaction, including a corporate re-organization, merger or amalgamation, or the sale of all or some of our assets, provided that the Personal Information disclosed continues to be used for the purposes permitted by this Privacy Policy by the entity acquiring this information;
  • Where you otherwise specifically consent to the disclosure of your Personal Information.

Additionally, the Company may disclose your Personal Information where and when required or permitted by law to do so.

Processing and Storage of Information

Some parties that process or store Personal Information are located in the United States. Therefore, your information will be processed and stored in the United States and, as a result, the United States governments, courts, or law enforcement or regulatory agencies may be able to obtain disclosure of your information through the laws of the United States.

Information Gathered With Technology

Your Personal Information may be used to improve the Company’s services and products in order to better understand and meet your treatment needs and options.

If you are visiting our website, we use a feature called “cookies” which identifies your browser to us each time you visit and makes the website easier to view (e.g. establishes font size). We may also collect your IP address when you visit our website. Your IP address is collected so that we know how many visits to our website we have had. Our cookies cannot profile your system or collect information from your hard drive. Most browsers are initially set up to accept cookies, but you can set your browsers to refuse cookies. Please note that if you choose to do this, you may not be able to access all or parts of our website.

How Does the Company Protect the Personal Information It Collects?

To protect information about you from loss, theft, unauthorized access and disclosure or use, we maintain physical, electronic, and procedural safeguards and security measures in keeping with industry standards and practices. Security measures adopted by the Company include limiting the number of individuals with access to your Personal Information on a need-to-know basis. All Celgene affiliates, suppliers, agents, employees and other parties performing services on our behalf who handle Personal Information are bound to maintain the confidentiality of all Personal Information and may not use the information for any unauthorized purpose. We regularly review and adjust these safeguards in response to advances in technology. Please be aware that despite our best efforts, no data security measures can guarantee 100% security all of the time.

Accuracy and Access

We are committed to ensuring that the Personal Information we hold for each individual is accurate, up-to-date and complete. You have the right to request access to your Personal Information in our files and to ask for update or removal of that information as necessary, subject to any legal restrictions that would prohibit such action. Changes to this Privacy Policy

The Company may add, modify or remove portions of this Privacy Policy, as and when it deems necessary or appropriate.
